Article 1 - Definitions Seven Sundays: The seller of products and services under Chamber of Commerce registration upon request.
Customer: The party with whom Seven Sundays has entered into an agreement.
Consumer: A Customer acting as a private individual.
Parties: Seven Sundays and the Customer jointly.
Article 2 - Applicability These terms and conditions apply to all offers, quotations, activities, orders, agreements, and deliveries of services or products by or on behalf of Seven Sundays. Deviations from these terms can only be agreed upon in writing. The applicability of the Customer's general terms and conditions is expressly excluded.
Article 3 - Prices The prices of the offered products and/or services remain unchanged during the stated validity period unless price changes occur due to changes in VAT rates. Prices may be variable in the event of fluctuations in the financial market beyond Seven Sundays' control. Any price changes will be clearly stated in the offer.
All prices are exclusive of VAT for deliveries outside the EU and are subject to typographical and printing errors. Seven Sundays accepts no liability for the consequences of such errors, and the seller is not obliged to deliver the product at the incorrect price.
Article 4 - Samples and Models A received sample or model of a product only provides an indication of the nature of the product. The Customer cannot derive any rights from this unless it has been explicitly agreed in writing that the delivered product will correspond to the sample or model.
Article 5 - Payments and Payment Terms Seven Sundays may request a deposit of up to 50% of the agreed amount when entering into an agreement. Full payment must be made within the agreed term after delivery. If the payment term is exceeded, the Customer is immediately in default without requiring a notice of default.
Article 6 - Right of Reclamation If the Customer is in default, Seven Sundays has the right of reclamation regarding the delivered unpaid products. This right will be communicated to the Customer in writing or electronically, after which the product must be returned immediately.
Article 7 - Right of Withdrawal A Consumer may withdraw from an online purchase within 14 days of receiving the product without stating a reason, provided the product is unused and in its original condition. Certain products, such as underwear, are excluded from this right of withdrawal for hygiene reasons.
Article 8 - Reimbursement of Shipping Costs If a Consumer cancels and returns an order in time, the shipping costs paid by the Consumer will be refunded within 14 days. The delivery costs are only borne by Seven Sundays if the entire order is returned.
Article 9 - Return Costs The costs of returning the products are borne by the Customer unless otherwise agreed in writing.
Article 10 - Retention of Title Seven Sundays may retain products of the Customer until all outstanding invoices have been paid. This also applies to previous agreements between both parties.
Article 11 - Retention of Ownership Seven Sundays remains the owner of all delivered products until full payment has been made by the Customer. Until that time, the products may not be pledged or sold. When Seven Sundays exercises the retention of ownership, compensation may be claimed.
Article 12 - Delivery The delivery of products takes place at the address provided by the Customer, subject to stock availability. For deliveries outside the EU, prices are exclusive of VAT.
Article 13 - Delivery Time The delivery times are indicative. If delivery is delayed, the Customer cannot derive any rights from this unless otherwise agreed in writing. Delays do not entitle the Customer to compensation.
Article 14 - Actual Delivery The Customer must ensure that the delivery of the ordered products is possible on time.
Article 15 - Transport Costs The transport costs are borne by the Customer unless otherwise agreed in writing.
Article 16 - Packaging and Shipping Any damage to the packaging must be reported by the Customer to the carrier immediately upon receipt.
Article 17 - Warranty The warranty covers defects resulting from faulty manufacturing or materials. Wear and tear, accidents, or damage caused by the Customer are not covered by the warranty.
Article 18 - Indemnification The Customer indemnifies Seven Sundays against all claims from third parties related to the products and services provided by Seven Sundays.
Article 19 - Complaints The Customer must submit a complaint about a product within one month after discovering a defect. For Consumers, a period of two months applies.
Article 20 - Liability Seven Sundays is only liable for direct damage caused by intent or deliberate recklessness. Indirect damage, such as consequential damage or lost profits, is not compensated.
Article 21 - Force Majeure In the event of force majeure, Seven Sundays' obligations are suspended. If the force majeure situation lasts longer than 30 days, both parties may terminate the agreement without any right to compensation.
Article 22 - Amendment of Terms and Conditions Seven Sundays reserves the right to amend these terms and conditions. Significant changes will be communicated to the Customer in advance. In the event of significant changes, a Consumer has the right to terminate the agreement.
Article 23 - Governing Law All agreements between the Customer and Seven Sundays are governed by Dutch law. Any disputes will be submitted to the competent court in the district where Seven Sundays is established.
Article 24 - Expiry Period Any right of the Customer to compensation expires 12 months after the event that caused the liability, unless otherwise stipulated by law.
Article 25 - Termination The Customer may terminate the agreement if Seven Sundays fails to fulfill its obligations, unless the failure is of such minor significance that termination is not justified.
Article 26 - Force Majeure In the event of force majeure, Seven Sundays' obligations are suspended. If the force majeure lasts longer than 30 days, both parties may terminate the agreement in writing without compensation.
Article 27 - Amendment of Agreement If necessary for the execution of the agreement, the Customer and Seven Sundays may adjust the agreement.
Article 28 - Transfer of Rights The Customer may not transfer any rights from an agreement with Seven Sundays without prior written consent from Seven Sundays.
Article 29 - Consequences of Nullity or Voidability If one or more provisions are null or voidable, the remaining provisions remain in force. The null provisions will be replaced by provisions that best reflect the original intention.
Article 30 - Governing Law and Competent Court These terms and conditions and the underlying agreement are governed by Dutch law. The court in the district where Seven Sundays is established is competent to hear disputes, unless otherwise prescribed by law.
Article 31 - Amendment of Terms and Conditions Seven Sundays reserves the right to amend these terms and conditions. Minor changes may be made without notice. In the event of significant changes, the Consumer will be informed in advance.
